GigCapital8 to Buy Quantisimo in $666 Million Stock Deal
The SPAC will issue 66.61 million shares of a new holding company to take the WISeKey-SEALSQ quantum vehicle public under a Root-to-Qubit platform.
GigCapital8 Corp. (GIW), a publicly traded private-to-public equity vehicle, agreed to acquire Quantisimo Corp. in an all-stock transaction valued at approximately $666.1 million, or $10.00 a share.
Consideration is an aggregate of 66,610,000 shares of Quantisimo Holding Corp., a new publicly listed holding company. The deal is expected to close in the first quarter of 2027, subject to customary conditions, including approval by GigCapital8’s shareholders.
Quantisimo is being developed as a pure-play sovereign quantum vertical platform under the vision “Root to Qubit,” intended to connect the foundations of digital trust with quantum computing, quantum networking, and secure terrestrial and space infrastructure.

The combination follows a June 2026 non-binding letter of intent between Quantisimo and GigCapital8 to explore a Nasdaq-listed strategic quantum technology platform. At that stage, the parties described a pre-money enterprise value of approximately $575 million and an intention to lift that valuation toward $2 billion through up to five additional quantum acquisitions.
Quantisimo was created by WISeKey International Holding Ltd. and its subsidiary SEALSQ Corp. as a Trusted Quantum Pure-Play platform combining proprietary technologies, strategic investments, intellectual property, and selected assets from the SealQuantum.com portfolio.
The June release also cited a U.S. executive order on quantum innovation as validating the company’s strategic vision, with the companies saying public commitment to quantum computing, sensing, networking, and trusted supply chains was expected to expand market opportunities.
The definitive stock combination now fixes the initial public listing at $10.00 a share and 66.61 million shares of the new holding company, with a first-quarter 2027 close still conditioned on GigCapital8 shareholder approval.
