Clean Harbors to Buy EnviroServe and ES&H for $775 Million
The combined cash purchase is meant to expand collection, disposal and recycling volume and emergency response in the U.S. Gulf region.
Clean Harbors, Inc. (CLH) agreed to buy EnviroServe and ES&H for $775 million in cash, combining a national waste-management network with a Louisiana-based emergency-response operator to deepen the company’s Technical Services and Field Services businesses in the U.S. Gulf region.
The environmental and industrial services provider said the two acquisitions expand collection capabilities, disposal and recycling volume, and emergency response. “The acquisitions of EnviroServe and ES&H greatly enhance our Technical Services and Field Services businesses,” said Eric Gerstenberg, Co-Chief Executive Officer of Clean Harbors.
The $775 million figure covers both targets together. Clean Harbors had already announced a separate $470 million cash agreement to acquire EnviroServe from an affiliate of One Rock Capital Partners in August, a deal it expected to close in the second half of 2026 subject to regulatory approval. That EnviroServe purchase was expected to generate about $25 million of cost synergies over the first two years, producing a post-synergy multiple of approximately nine times Adjusted EBITDA on about $27 million of expected Adjusted EBITDA and $250 million of revenues.
ES&H, headquartered in Louisiana, operates 13 service branches, most of them coastal, supporting maritime services that complement Clean Harbors’ existing offerings. The company’s primary offerings include emergency response, field services and environmental impact management. Annual base revenues are approximately $90 million, with annual Adjusted EBITDA of approximately $30 million. Clean Harbors expects about $5 million of cost synergies after the first full year of operations, equating to a post-synergy acquisition multiple of 8.7 times. In July, the company had described the ES&H purchase as a planned $305 million expansion of Field Services.
EnviroServe, headquartered in Sandy, Utah, serves nearly 2,500 customers through 40 locations, with permits in 48 states including 18 10-day transfer facilities, solidification sites and railcar cleaning locations. It employs more than 700 people and operates a fleet of more than 700 vehicles, including more than 100 vacuum trucks; 85% of its revenue is recurring, and the average tenure of its top 10 customers exceeds 16 years. The 10-day facilities would drive additional waste and recycling volumes through Clean Harbors’ disposal and recycling sites, and cross-selling of Clean Harbors and Safety-Kleen brands would follow.
The EnviroServe acquisition is expected to be funded through available cash and additional debt financing. Closing of the EnviroServe transaction remains subject to regulatory approval and other customary conditions, with completion still expected in the second half of 2026.
