SpyGlass Pharma to Buy Advanced Vision Science for $13 Million

The all-cash purchase is meant to lock in IOL manufacturing for SpyGlass’s Phase 3 BIM-IOL System and open a path to premium lenses.

SpyGlass Pharma, Inc. (SGP) agreed to acquire Advanced Vision Science, Inc. (AVS) for approximately $13 million in cash, an all-cash transaction the company said would secure scalable commercial intraocular lens manufacturing for its Phase 3 lead product candidate, the BIM-IOL System.

The ophthalmic drug-delivery company said the purchase is intended to lock in a long-term supply of intraocular lenses and accelerate the pathway to adding premium lens options to its IOL-based drug delivery platform.

“The acquisition of AVS for SpyGlass Pharma is strategically important as it secures our long-term supply of world-class IOLs,” said Patrick Mooney, CEO of SpyGlass Pharma.

The deal is framed as a supply-chain move rather than a product-line expansion: SpyGlass is buying the capacity to manufacture the lenses it needs as BIM-IOL advances through late-stage development, and it is using that same footprint as a route into premium IOL variants.

No exchange ratio, cash-per-share figure, or disclosed premium was provided in the announcement. The company did not state an expected close date or list closing conditions in the release.

The $13 million cash consideration is modest relative to the manufacturing capacity SpyGlass said it is buying, and the company presented the transaction as a step toward commercial readiness for BIM-IOL rather than a change in its drug-delivery program.

Mooney’s comment that the deal secures a long-term supply of “world-class IOLs” is the company’s own description of the strategic payoff: a dependable lens source for the Phase 3 candidate and a manufacturing base from which premium lens options can be added to the IOL-based system.
