Liquidity Services to Buy Auction Holdings in $80 Million Cash Deal

The marketplace operator said Invaluable’s auction-house software is highly complementary to its core capabilities as it invests in platforms ripe for innovation.

Liquidity Services (LQDT) agreed to acquire Auction Holdings, Inc., the operator of the Invaluable auction software, for $80 million in cash.

The all-cash purchase is framed as a marketplace-platform investment rather than a bolt-on software license. Liquidity Services said the deal supports its strategy to invest in marketplace platforms in sectors ripe for innovation and that Invaluable’s business is highly complementary to its core capabilities and markets.

Bill Angrick, chairman and CEO of Liquidity Services, said the combination is aimed at auction-house customers rather than at a single product line. “Our shared goal is to help Invaluable’s auction-house customers innovate and grow their business by strengthening the technology, services and buyer-engagement tools available to them. By combining Invaluable’s category leadership with Liquidity Services’ proven marketplace operating and merchandising capabilities, we will create meaningful value for auction houses, buyers and shareholders.”

Liquidity Services describes itself as a global provider of e-commerce marketplaces and software solutions powering the circular economy. In the most recent fiscal quarter reported, the quarter ended June 30, 2026, gross merchandise volume was $453.0 million, up 10% from $413.0 million a year earlier, and revenue was $129.6 million, up 8%. Cash balances stood at $231.1 million with zero financial debt.

The company said it is marching closer to a $2 billion annual GMV target under its RISE strategy and that marketplaces in the quarter drove a 17% increase in completed transactions. Angrick said the expanding multi-channel buyer base across retail, industrial and public-sector verticals supports stronger recovery and scalable, asset-light growth.

Invaluable’s auction-house software sits alongside those marketplace operations as Liquidity Services layers buyer-engagement tools onto category leadership in auction technology. The $80 million cash consideration is the full purchase price disclosed in the announcement.
