FMC to Buy Tessenderlo Group in $403 Million Cash Deal

The agricultural sciences company will pay $13.30 a share after a minority stake from Tessenderlo earlier this year.

FMC Corporation (FMC) agreed to acquire Tessenderlo Group in an all-cash transaction valued at approximately $403 million, paying $13.30 a share.

The agricultural sciences company had spent the past several months working with the Belgian industrial group after Tessenderlo took a minority position in FMC.

In late June, Tessenderlo agreed to invest about $400 million in FMC at the same $13.30 a share, which would have left it owning about 20.0% of FMC common stock. That investment was framed as a cornerstone minority stake in a company Tessenderlo said was renewing its portfolio with a new generation of proprietary molecules.

The acquisition now converts that minority position into a full purchase of the Belgian group. Tessenderlo is an industrial group focused on agriculture, valorising bio-residuals, machinery, mechanical engineering, electronics, energy, and industrial solutions with a focus on water, active in more than 100 countries with about 7,000 employees. In 2025 it recorded consolidated revenue of 2.8 billion EUR.

FMC said the deal follows a comprehensive process and that its board is confident the agreement is the best path forward for the company and its shareholders. Pierre Brondeau, chairman, chief executive officer and president, made that comment in connection with the earlier minority investment.

The June investment had been intended to help FMC reach an approximately $1 billion debt paydown target. With this acquisition, the company is buying the same industrial group that had just become a significant shareholder.

Closing is subject to customary conditions, including regulatory approvals.
