Universal Health Services Completes Acquisition of Talkspace
The deal creates the nation's first full continuum of behavioral healthcare, linking virtual, outpatient and inpatient services under one roof.
Universal Health Services, Inc. (NYSE: UHS) completed its acquisition of Talkspace, Inc. (NASDAQ: TALK), uniting one of the nation's largest hospital operators with a leading virtual behavioral-health platform. The transaction, originally announced in March 2026, closed after receiving all necessary regulatory approvals and satisfying customary closing conditions.
The combination creates the nation's first full continuum of behavioral healthcare services, connecting virtual therapy and psychiatry with outpatient programs, crisis intervention, inpatient treatment and specialized care. By making transitions between levels of care more seamless, the integrated model is designed to support patients throughout their mental health journey.

Talkspace serves individuals across all 50 states, Washington, D.C., and Puerto Rico through a network of roughly 6,000 licensed providers whose services are available to more than 200 million people through health insurance plans, employers, employee assistance programs, schools and government organizations. The platform also offers self-pay options and recently introduced Tee, an AI-powered mental health guide built to meet HIPAA privacy standards and provide subscribers with real-time support.

The deal lands as demand for behavioral health services continues to grow, with the combined organization positioned to offer patients greater flexibility and choice while improving care coordination across settings. The integrated model also strengthens support for employers, health plans and community partners seeking scalable, evidence-based mental healthcare solutions.
UHS, headquartered in King of Prussia, Pennsylvania, reported annual revenues of approximately $17.4 billion in 2025 and operates more than 380 inpatient behavioral health facilities, 30 acute care hospitals and roughly 170 outpatient and other locations across 40 states, Washington, D.C., Puerto Rico, Ireland and the United Kingdom. The companies will begin working together immediately to integrate capabilities while ensuring uninterrupted service for patients, providers and partners.
