Universal Health Services Completes Acquisition of Talkspace
The deal creates a full continuum of behavioral healthcare services by integrating a virtual health platform with a network of physical facilities.
Universal Health Services, Inc. (UHS) completed its acquisition of Talkspace, Inc. (TALK) on August 17, 2026. The transaction, which was originally announced on March 9, 2026, followed the receipt of all necessary regulatory approvals and the satisfaction of customary closing conditions.
UHS said the acquisition creates the nation's first full continuum of behavioral healthcare services. By combining one of the largest providers of healthcare services with a leading virtual behavioral health platform, the company intends to redefine how mental healthcare is accessed and delivered.
"The addition of Talkspace expands our ability to connect people with care when, where, and how they need it most," said Marc D. Miller, President and CEO of UHS. "And we are strengthening the connection between behavioral and physical health for overall well-being".
Talkspace operates a virtual care platform that complements the existing UHS network of acute care hospitals, outpatient locations, and affiliated behavioral health facilities. The company serves individuals across all 50 states, Washington, D.C., and Puerto Rico through a network of approximately 6,000 licensed providers. Its services are available to more than 200 million people via employers, schools, government organizations, and health insurance plans.
Talkspace also provides a suite of mental health services, including psychiatry, medication management, and therapy for individuals, teens, and couples. The platform recently introduced Tee, an AI-powered mental health guide developed to HIPAA privacy standards to provide real-time support and feedback to subscribers.
UHS, which reported annual revenues of approximately $17.4 billion during 2025, operates more than 380 inpatient behavioral health facilities and 30 inpatient acute care facilities. The combined organization aims to improve care coordination across settings, ranging from virtual support and counseling to crisis intervention and inpatient treatment.
