MeiraGTx Reclaims Eye Therapy Ahead of Regulatory Push

The genetic medicines company completed its $25 million acquisition of bota-vec and secured financing to support development and potential commercialization.

MeiraGTx Holdings plc (MGTX), a clinical-stage genetic medicines company, completed its acquisition of full rights to eye therapy botaretigene sparoparvovec, advancing from an April agreement to ownership in May. After emphasizing licensing collaborations in its year-end update, the company added a wholly owned late-stage treatment to its regulatory agenda. MeiraGTx expects global approval submissions for the therapy, known as bota-vec, in 2026.

The acquisition from Johnson & Johnson covered all rights and interests in the treatment for X-linked retinitis pigmentosa. Under the agreement, J&J remained eligible for a payment tied to U.S. approval and sales performance, plus potential royalties in the mid-teens on global net sales beginning in mid-2029. MeiraGTx also completed a concurrent $100 million equity financing.

Bota-vec's Phase 3 LUMEOS study enrolled 95 patients, all treated in both eyes. The results highlighted potential vision improvements, with manageable safety and no new safety signals. MeiraGTx had completed process performance qualification for commercial manufacturing and held commercial licenses for its London manufacturing facility and Shannon, Ireland, quality-control facility.

The quarter's earnings also bore the effects of changes in collaboration arrangements. Net income attributable to ordinary shareholders was $160.7 million, or $1.71 a diluted share, for the three months ended June 30, against a $38.8 million loss a year earlier. Related-party license revenue totaled $204.6 million from licenses granted to Reogen for AAV-GAD, AAV-BDNF and an AAV-GAD delivery device.

Related-party service revenue was $104.9 million. That revenue came from the release of deferred revenue following termination of its original J&J agreements and from development and transition services for Reogen, partly offset by reduced manufacturing qualification activity. Separately, service revenue from contract manufacturing for Lilly totaled $11.9 million. These revenue streams came from agreements and services rather than sales of approved therapies.

Research and development expenses rose to $57.8 million from $33.5 million a year earlier, primarily because of the bota-vec reacquisition. MeiraGTx also reported higher manufacturing and clinical spending on its radiation-induced dry-mouth program. A separate $71.9 million equity-method investment loss primarily represented its share of Reogen's acquired research assets and ongoing development expenses.

The financing package extended beyond the equity raised alongside the acquisition. In June, MeiraGTx agreed to an investment of up to $400 million from Oberland Capital, including up to $375 million in capital exchanged for capped royalties. The initial funding totaled $135 million. The agreement entitled Oberland to royalties on specified products following regulatory approval, with payments capped at a multiple of funding.

Further funding remained conditional: separate $50 million tranches were linked to positive AQUAx2 data, bota-vec approval and approval of the dry-mouth therapy. Those amounts were available at MeiraGTx's option upon the specified milestones. Another $100 million required mutual agreement for new products or business development, distinguishing the headline financing commitment from money already funded.

Cash and cash equivalents stood at approximately $143.2 million at June 30. The company expects that balance, receivables, July Oberland proceeds and outstanding Hologen payments and reimbursements to fund operations and capital spending into the second half of 2028. Its estimate excludes potential Lilly milestone payments and subsequent Oberland royalty-note tranches.

The other near-term regulatory program also progressed. AAV2-hAQP1, for radiation-induced xerostomia, completed enrollment in its pivotal AQUAx2 study during the second quarter. That followed March's FDA Breakthrough Therapy Designation and April's presentation of three-year early-stage results. The earlier study showed sustained improvements in patient-reported outcomes and salivary flow.

MeiraGTx expects the pivotal study's 12-month results in the second quarter of 2027. Positive results would support an approval application, with potential approval targeted for the end of that year and a U.S. launch in 2028, making the readout a milestone for both development and access to additional financing.
