Vor Bio Narrows Loss After Warrant Mark Reverses
The company posted a $62.8 million net loss for the three months ended June 30, 2026, as warrant fair-value expense fell to $19.3 million.
Vor Biopharma (VOR), a clinical-stage biopharmaceutical company developing telitacicept for autoimmune diseases, reported a $62.8 million net loss for the three months ended June 30, 2026, compared with a $219.6 million loss in the three months ended March 31, 2026.
The quarter-ago loss had been driven largely by a $188.4 million charge for the change in fair value of warrant liabilities. That mark reversed sharply in the June quarter: the warrant fair-value expense was $19.3 million, and the decline in other expense versus a year earlier reflected both the change in fair value of the warrants and fewer warrants outstanding.
Operating results told a different story. Research and development expenses were $25.9 million, up from $17.6 million in the first quarter, as the company spent more on its two telitacicept Phase 3 programs after the May 2025 in-license from RemeGen. External spend on telitacicept for generalized myasthenia gravis rose to $12.2 million from $9.8 million, and spend on telitacicept for Sjögren’s disease rose to $6.3 million from $2.5 million. Trem-cel and VCAR33, the legacy programs wound down under the 2025 restructuring, contributed no external research expense in the June quarter.
General and administrative expenses were $21.9 million. The increase from $17.6 million in the prior quarter was primarily due to a $7.3 million rise in stock-based compensation and a $3.3 million rise in commercial-related expenses as the company prepares for a potential commercial launch. Interest income was $4.3 million.
Cash, cash equivalents and marketable securities were $466.1 million as of June 30, 2026, down from $491.5 million at March 31, 2026. Including net proceeds from at-the-market sales after quarter-end, existing cash will fund operating expenses and capital expenditures into early 2029.
Subsequent to June 30, 2026, Vor sold 2,558,569 shares for $48.9 million of gross proceeds, before $0.5 million of commissions, at a weighted-average price of $19.11 under the Stifel at-the-market facility, exhausting the $48.9 million remaining on that facility. A March 2026 private placement of 5,338,078 shares at $14.05 a share had already closed with $74.9 million of net proceeds.
The clinical calendar is unchanged from the prior quarter. The global Phase 3 trial of telitacicept in gMG, for which Vor assumed responsibility from RemeGen, is recruiting in North America, Europe, Latin America and Asia, with topline data anticipated in the first half of 2027. The first patient in the global Phase 3 Sjögren’s disease trial was dosed in March 2026; the company expects to recruit about 250 adults in the United States, Europe, South America and Asia.
Vor has not generated revenue since inception and does not expect product sales in the near future. It will need to raise additional capital in the future to fund planned operations.
