Mineralys Posts Wider Loss After $200 Million Tanabe Royalty Buyout

Mineralys Therapeutics reported a net loss of $241.1 million for the quarter, driven largely by a one-time $200.0 million payment to eliminate future royalty obligations on lorundrostat.

Mineralys Therapeutics (MLYS) widened its net loss to $241.1 million, or $(2.85) a share, in the second quarter of 2026, from $43.3 million, or $(0.66) a share, a year earlier. The clinical-stage biopharmaceutical company attributed the swing primarily to a $200.0 million upfront payment made to Tanabe Research Laboratories under an amended license agreement that eliminated ongoing royalty obligations on lorundrostat, its lead hypertension candidate.

The Tanabe amendment replaced royalty payments with up to $100.0 million in new commercial milestones, leaving up to $255.0 million in aggregate remaining milestone obligations plus up to $10.0 million tied to a potential second indication. The restructuring reshaped the company's cost base heading into a planned commercial launch, trading a variable royalty stream for a fixed upfront cost and capped milestone liabilities.

Research and development expenses surged to $221.4 million from $38.3 million, with the Tanabe payment accounting for the bulk of the increase. That was partially offset by $17.8 million in lower preclinical and clinical costs as the pivotal program concluded. General and administrative expenses more than doubled to $24.7 million from $8.5 million, reflecting $8.0 million in higher professional fees and $8.0 million in increased personnel costs tied to headcount growth as the company builds out commercial infrastructure.

Despite the quarter's outsized cash outlay, Mineralys ended June with $661.4 million in cash, cash equivalents and investments, up modestly from $656.6 million at the end of 2025. The company offset the $200.0 million Tanabe payment with a $150.0 million follow-on offering and an initial $100.0 million drawdown from a new term loan facility.

That facility, a senior secured term loan of up to $500.0 million with Pharmakon Advisors, left $97.6 million in net term loan debt on the balance sheet at quarter-end, versus none at year-end 2025. Total liabilities climbed nearly eightfold to $116.9 million from $15.1 million, while total stockholders' equity declined to $550.9 million from $646.7 million over the same period. Total other income, net rose to $5.0 million from $3.5 million, as a $2.3 million increase in interest income on higher cash balances was partly offset by $0.8 million in new interest and amortization expense on the term loan.

Lorundrostat's new drug application remained under U.S. Food and Drug Administration review, with the company reaffirming a PDUFA target date of December 22, 2026. Commercial launch preparations, including building out its sales organization, defining territories and engaging with payers, remained on track.

The company also disclosed a leadership change at the top of its clinical organization. Dr. Terry Ferguson was appointed Chief Medical Officer effective August 10, 2026, succeeding David Rodman, who is transitioning to a full-time role as Strategic Advisor.
