Bradesco Capitalizes R$6.67 Billion Legal Reserve, Strengthens Equity Base

Brazil's largest private-sector bank allocated R$14.5 billion to interest on shareholders' equity for fiscal 2025 while boosting share capital to R$93.77 billion.

Banco Bradesco (BBD) fortified its capital structure for fiscal 2025 by capitalizing R$6.67 billion from its Legal Reserve into share capital, lifting the total to R$93.77 billion from R$87.1 billion without issuing new shares. The move, approved at a March 2026 shareholders' meeting, bolsters the bank's equity cushion through retained earnings rather than dilutive issuance.

The capitalization accompanied a full-year net income of R$24.55 billion, a figure ratified by shareholders at the same meeting. Bradesco's earnings allocation for the period directed R$1.06 billion to the Legal Reserve and R$5.67 billion to the Statutory Reserve, alongside R$3.32 billion earmarked for initial adjustments tied to the implementation of CMN Resolutions No. 4,966/21 and 4,975/21.

Capital return to shareholders for fiscal 2025 totaled R$14.5 billion in interest on shareholders' equity (JCP). Of that sum, R$7.6 billion was fully disbursed, while R$6.9 billion remained payable — R$3.0 billion due by April 30, 2026, and R$3.9 billion by July 31, 2026. Management proposed no additional dividend or JCP distribution related to the 2025 fiscal year.

The shareholders' meeting also approved management remuneration for fiscal 2026 at up to R$910 million, comprising R$873 million in fixed pay, long-term incentives, and variable compensation, plus R$37 million allocated to the management pension plan. No prior-year compensation figure was disclosed in the available excerpts for comparison.

A governance change accompanied the financial resolutions. Bradesco amended its bylaws to add a new provision — Paragraph 6 of Article 7 — authorizing the Board of Directors to decide on profit-sharing distributions to management. The clause introduces a statutory mechanism not previously present in the bank's governing documents.

The combination of a strengthened equity base, a sizable JCP payout schedule extending through mid-2026, and new governance provisions signals a balance sheet being positioned for regulatory and market demands ahead. With the Legal Reserve capitalization complete and reserves fully funded, Bradesco enters the current fiscal year with a broader capital foundation and a defined shareholder-return calendar through July.
