Emergent Cuts Full-Year Outlook After Naloxone Impairment

Second-quarter revenue reached $234.3 million as medical countermeasures rose, while the company booked a $191.3 million NARCAN impairment and lowered full-year revenue guidance to $645 million to $675 million.

Emergent BioSolutions Inc. (EBS) reported second-quarter total revenues of $234.3 million, up 66% from $140.9 million a year earlier, reversing a 30% year-over-year decline in the first quarter. Chief Executive Joe Papa said the result exceeded the high end of the company’s guidance range, citing accelerated MCM and biodefense contract modifications with the U.S. government.

The GAAP picture was a $180.2 million net loss, or $3.49 a share, versus a $12.0 million loss, or $0.22 a share, a year earlier. The company said the widening was largely due to a $191.3 million non-cash impairment of the NARCAN asset group in the Commercial reporting unit. Adjusted net income was $30.9 million, or $0.60 a share, compared with $13.2 million, or $0.24 a share, a year earlier.

Adjusted EBITDA was $96.5 million, a 41% margin, versus $33.1 million and a 23% margin a year earlier. Gross margin was 50% and adjusted gross margin was 58%.

Medical countermeasures carried the top line. Smallpox MCM sales were $101.6 million, up 150% from $40.6 million a year earlier, which the company attributed to higher U.S. government sales of ACAM2000, higher CNJ-016 (VIGIV) sales with a more favorable price and volume mix, and higher TEMBEXA international sales due to timing. Other Products, comprising BAT, rose to $54.1 million from $6.2 million on higher U.S. government and international BAT sales due to timing. Anthrax MCM sales were $12.3 million.

The MCM Products segment posted revenue of $168.0 million, up 188% from $58.4 million a year earlier, with gross margin of $107.4 million, or 64%, and segment adjusted gross margin of $116.1 million, or 69%. The company said the gross-margin percentage increase was driven by a more favorable sales mix and higher volumes that improved absorption of fixed manufacturing costs, partially offset by a significant non-recurring manufacturing cost related to CYFENDUS production.

Naloxone product sales fell to $52.4 million from $67.5 million a year earlier. The company said the decrease was primarily attributable to lower sales of OTC NARCAN, mostly driven by an unfavorable price-volume mix in U.S. public interest channels, partially mitigated by increases in Canadian sales of branded NARCAN and KLOXXADO sales. Commercial Products gross margin was $6.7 million, or 13%, and segment adjusted gross margin was $16.2 million, or 31%.

Papa said the company is at a critical juncture in its turnaround, primarily stemming from the naloxone business. Emergent is implementing an organizational restructuring that includes a reduction of approximately 90 roles, expected to result in annualized savings of about $40 million when fully implemented, and creating a new Growth organization that integrates R&D, business development and strategy.

The company also said it secured a contract modification and completed delivery of about $52.7 million of ACAM2000, executed a $64.5 million BAT contract modification with the U.S. government, and refinanced its term loan with a new $150 million facility and an amended asset-backed loan facility.

For the full year 2026, Emergent revised its revenue outlook to $645 million to $675 million from $720 million to $760 million. Adjusted EBITDA guidance was cut to $130 million to $150 million from $155 million to $175 million, and adjusted net income to $10 million to $30 million from $45 million to $65 million. Adjusted gross margin is now expected at 42% to 44%. Third-quarter 2026 revenue is forecast at $110 million to $130 million.
