Spok Cuts 2026 Revenue Guidance After Paging-Unit Slowdown

Second-quarter software operations bookings were $9.5 million, up nearly 92% from the first quarter, as the company lowered its full-year revenue midpoint to $136 million.

Spok Holdings, Inc. (SPOK), a healthcare communications company, lowered its full-year 2026 revenue outlook after a second quarter in which software bookings rebounded and wireless unit attrition slowed, while it kept the midpoint of adjusted EBITDA guidance at $30 million.

The company now expects full-year revenue of $132.5 million to $139.5 million, a midpoint of $136 million, down from a prior range of $136.0 million to $143.0 million. Wireless guidance is $67.0 million to $70.0 million and software guidance is $65.5 million to $69.5 million. Adjusted EBITDA guidance remains $28.0 million to $32.0 million. Chief executive Vincent D. Kelly said the revenue adjustment reflected the anticipated full-year financial impact of the strategic realignment, first-half software operations bookings levels, and visibility into the product sales pipeline.

Software operations bookings totaled $9.5 million in the quarter ended June 30, 2026, up nearly 92% from the first quarter, after a nearly 83% sequential increase in the fourth quarter of 2025. Bookings included 14 six-figure customer contracts and one seven-figure contract. Software backlog was $57.1 million at June 30, versus $55.3 million at March 31.

Software revenue was $17.8 million, up 3.2% from a year earlier. License revenue rose 51.7% and managed services rose 53.4%. Professional services projects fell 27.7% and hardware fell 66.0%. Maintenance and subscription revenue was $8.9 million.

Total revenue was $35.0 million, down 1.9% from the year-ago quarter, as wireless revenue of $17.2 million fell 6.7%. Wireless units in service declined 1.8% in the second quarter, an 84-basis-point improvement from the first-quarter decline, with average revenue per unit of $8.20, consistent with the prior-year period. Units in service stood at 645,000.

Adjusted EBITDA was $9.1 million, up 22.1% from the year-ago quarter and a nearly 74% increase from the first quarter. Net income was $4.1 million, or $0.20 a share, down from $4.6 million, or $0.22 a share, a year earlier. The 2026 result included $1.5 million of severance and restructuring charges related to the previously announced strategic realignment; the year-ago quarter included a $0.7 million gain on the sale of a domain name. Operating expenses were $29.6 million. Research and development costs were $3.3 million.

The company executed an agreement to sell certain narrowband spectrum licenses in its two-way paging inventory for $8 million in cash; the sale closed on July 20, 2026. Cash and cash equivalents were $16.6 million at June 30, with no debt. Capital returned to stockholders in the second quarter totaled $6.5 million. The board declared a regular quarterly dividend of $0.3125 a share, payable September 9, 2026, to stockholders of record on August 19, 2026. Kelly said the dividend currently represents a yield in excess of 10%.

Kelly said Spok is actively implementing artificial intelligence to drive operational efficiencies, with a focus on accelerating product development timelines and reducing time to market for Care Connect Suite capabilities. The company said it continues to focus on multi-year and managed services bookings.
