VF Corp. Sells Dickies Brand to Bluestar Alliance for $600 Million

The divestiture is part of a broader strategic realignment of the apparel company's reportable segments and performance analysis.

VF Corporation (VFC) completed the sale of its Dickies brand business to Bluestar Alliance LLC in an all-cash asset-purchase deal.

The transaction was valued at an aggregate base purchase price of $600 million in cash, subject to customary adjustments for cash, working capital, and transaction expenses. The companies had previously entered into the definitive agreement on September 15, 2025, and closed the transaction on November 12, 2025.

The divestiture was part of the company's financial reporting and performance trends analysis. The sale did not represent a strategic shift that would have a major effect on its operations and financial results, and therefore did not qualify for presentation as a discontinued operation under GAAP.

Bluestar Alliance is a global brand management firm that oversees a portfolio of fashion and lifestyle brands. The acquisition of Dickies adds to a portfolio that includes brands such as Off-White and Palm Angels.

The sale follows a similar divestiture by VF, which completed the sale of the Supreme brand business to EssilorLuxottica S.A. on October 1, 2024.

Following the divestiture, VF realigned its reportable segments in the first quarter of Fiscal 2026 into two primary categories: Outdoor and Active. The company also established an "All Other" category for remaining operating segments that do not meet the quantitative threshold for separate disclosure. VF reported an estimated pre-tax gain on the sale of approximately $139 million.
