Enterprise Products Expands Midstream Footprint Through Strategic Asset Consolidation

The partnership integrated new pipeline entities and finalized ownership of Wilprise to streamline its regulated transport network.

Enterprise Products Partners (EPD) expanded its regulated pipeline architecture in 2024, focusing on the integration of new corporate entities and the consolidation of ownership interests across its midstream portfolio. The partnership's oil pipeline carriers, including a network of Texas and Delaware-based subsidiaries, shifted toward a more centralized ownership structure to optimize the movement of crude and natural gas liquids.

Operational growth was highlighted by the full acquisition of Wilprise Pipeline Company, L.L.C. (DE). Enterprise Products Operating LLC acquired a 25.3% membership interest from Third Coast Emerald, LLC on June 1, 2023, resulting in 100% ownership of the entity. This consolidation allows the parent to exercise full operational control over the Wilprise assets, integrating them more tightly into the broader Enterprise network.

The partnership also introduced new regulated capacity to its system through the formation of Enterprise TW Products Pipeline Company LLC (TX). The entity was formed on August 31, 2023, and officially commenced FERC tariff service on January 1, 2024. The addition of this subsidiary marks a strategic expansion of the company's footprint in the Texas market, providing a new vehicle for regulated transportation services.

These additions complement a long-standing infrastructure base consisting of several legacy carriers. The partnership continues to operate Enterprise TE Products Pipeline Company LLC (TX), incorporated in 2010, and Enterprise Lou-Tex NGL Pipeline L.P. (TX), which has been in operation since 1999. The system also relies on several Delaware-incorporated entities that have undergone structural conversions to limited liability companies, including Dixie Pipeline Company LLC (DE), Seminole Pipeline Company LLC (DE), and Mid-America Pipeline Company, LLC (DE).

Structural updates further reflect the company's evolving transport needs. Enterprise Interstate Crude LLC (TX) was incorporated in 2019 to handle specific crude movements, while Enterprise CLH LLC (TX) was established on February 8, 2023. These newer entities provide the partnership with the flexibility to segment its crude and product flows under distinct regulatory frameworks.

Enterprise now moves forward with a streamlined corporate structure that blends legacy assets with newly acquired and formed entities. The integration of the Wilprise interest and the activation of the TW Products tariff service position the company to scale its throughput capabilities across its Texas and Delaware corridors.
