Berkshire Hathaway Completes $8.5 Billion Taylor Morrison Acquisition
The all-cash acquisition unified Berkshire’s regional builders with a national platform spanning 52 housing markets.
Berkshire Hathaway Inc. (BRK.A, BRK.B) completed its acquisition of Taylor Morrison Home Corp. (TMHC) for $72.50 a share in cash, giving the homebuilder an equity value of about $6.8 billion and an enterprise value of about $8.5 billion. The transaction brought Taylor Morrison into Berkshire’s housing portfolio and established the foundation for a unified site-built homebuilding operation.
The cash consideration represented a 24% premium to Taylor Morrison’s May 29 closing price when the companies announced their definitive agreement. The acquisition had been expected to close in the second half of 2026, subject to Taylor Morrison shareholder approval, required regulatory clearances and other customary conditions. Its completion turned Taylor Morrison into a private company and ended the listing of its common stock on the New York Stock Exchange.
Berkshire planned to combine Taylor Morrison with Clayton Properties Group, its collection of 15 regional and local homebuilders. The integrated operation will serve renters and buyers across entry-level, move-up and resort-lifestyle segments, broadening Berkshire’s reach across customer groups and regional housing markets. “Today marks an important step forward as Taylor Morrison joins Berkshire. This best-in-class national homebuilder will lead our vision for a unified site-built homebuilding operation. Together, we will help more Americans achieve their dream of homeownership,” Berkshire Hathaway Chief Executive Greg Abel said.
Taylor Morrison, based in Scottsdale, Ariz., developed communities and built homes under brands including Taylor Morrison, Esplanade and Yardly, while Taylor Morrison Home Funding provided financial services. Chief Executive Sheryl Palmer remained in charge and will oversee the integration of those businesses with Berkshire’s site-built housing operations. Together, Taylor Morrison and Clayton Properties Group delivered nearly 23,000 site-built home closings in 2025 and operated across 21 states, 52 housing markets and more than 700 communities. Scale positioned the combined business as the fourth-largest U.S. homebuilding operation.
The closing also activated financing changes arranged around the merger. Taylor Morrison Communities amended indentures covering senior notes due in 2028, 2030 and 2032, including changes to reporting obligations and merger covenants. The company also secured consent under its credit agreement for the change in control and added Berkshire as a permitted holder, with those amendments taking effect alongside completion of the transaction.
Taylor Morrison shareholders received the cash consideration for eligible common shares, while outstanding equity awards were converted or canceled under the merger agreement’s terms. With the acquisition complete, Berkshire’s integration task now centers on combining Taylor Morrison’s national brands and operating scale with Clayton’s regional expertise across a housing platform serving buyers and renters from initial entry through resort-oriented communities.
