TE Connectivity to Buy Astrodyne TDI in $1.4 Billion Deal

TE Connectivity is deepening its bet on mission-critical power management with a second nine-figure acquisition inside eighteen months.

TE Connectivity (TEL) agreed to acquire Astrodyne TDI in a deal valued at $1.4 billion, adding a specialist in power management and filtering solutions for mission-critical industrial applications to its Industrial segment.

The transaction is expected to close by the end of this calendar year, subject to customary closing conditions. TE Connectivity has not disclosed the structure of the deal or per-share terms, and the release did not include an executive quote.

Astrodyne TDI expands TE's power portfolio within the Industrial segment, adding filtering and power-conversion capabilities for customers running equipment that cannot tolerate downtime. That framing echoes TE's own playbook from February 2025, when it paid roughly $2.3 billion for Richards, a maker of utility infrastructure protection equipment, and told investors it expected mid-teens return on invested capital along with roughly $0.10 of adjusted EPS accretion in the first full year. Astrodyne TDI slots into the same logic — buying specialized, mission-critical power hardware businesses and folding them into TE's existing industrial distribution and engineering scale.

The deal also fits a broader pattern of consolidation around mission-critical industrial and defense-adjacent power hardware. EnerSys closed its $208 million purchase of Bren-Tronics in July 2024, paying about 8.7 times trailing EBITDA for a lithium battery maker serving military and defense customers, and cast the deal as accelerating its push into higher-margin specialty power products. Applied Industrial Technologies' $260 million-revenue acquisition of fluid-power distributor Hydradyne, completed at the end of 2024, followed the same template of buying scale and technical depth in adjacent industrial niches rather than building it organically. Astrodyne TDI represents the largest of these deals by dollar value, underscoring the premium acquirers are willing to pay for established mission-critical power franchises.

TE Connectivity has not disclosed Astrodyne TDI's revenue contribution, EBITDA multiple, or expected accretion, details it may provide alongside a future earnings call, as it did with the Richards transaction. The company also has not named financial or legal advisors on the deal. Closing remains subject to customary conditions, with TE Connectivity targeting completion within the calendar year.
