TXNM Energy Pushes Merger Deadline to 2027 Amid Regulatory Pause
TXNM Energy extended its merger termination date to May 31, 2027, and disclosed a new $400 million term loan to unwind a voided 2025 stock transaction that has stalled New Mexico regulators' review.
TXNM Energy (TXNM) extended the termination date on its pending merger agreement to May 31, 2027, pushing back an expected closing that had previously been targeted for an earlier date.
The extension follows a regulatory setback tied to a stock transaction executed in 2025 that was later voided. The New Mexico Public Regulation Commission has paused the procedural schedule governing its review of the merger while it awaits a compliance report from TXNM addressing the voided transaction, due before the end of July 2026. Closing is now expected in the first half of 2027, contingent on the NMPRC re-establishing its procedural schedule.
To address the voided transaction directly, TXNM entered a new $400 million term loan, a disclosure that did not appear in the company's prior quarterly release. The company plans to issue common stock to repay the loan, a step that would unwind the financing used for the original transaction and clear the way for the compliance filing the NMPRC is awaiting.
The sequence marks a shift from the prior quarter, when TXNM's merger timeline carried no indication of a regulatory pause or an unresolved financing issue tied to the 2025 transaction. The new term loan and the planned equity issuance to retire it now sit alongside the merger review as items the company must resolve before the NMPRC resumes its schedule.
TXNM did not disclose updated standalone earnings or revenue guidance alongside the merger and financing update, with the company's public disclosures this quarter centered on the regulatory and balance-sheet items tied to the pending transaction.
The extended termination date gives TXNM and its merger counterparty additional room to complete the New Mexico regulatory process, but the timeline now depends on a compliance filing whose outcome will determine when, or whether, the NMPRC restarts its review.
