Gold Resource Completes Goldgroup Merger, Ends Standalone Listing

Shareholders received 0.3619 Goldgroup shares for each Gold Resource share.

Gold Resource Corp. (GORO), the operator of Mexico’s Don David mine, completed its merger with Goldgroup Mining on July 17 and became a wholly owned subsidiary.

The closing ended Gold Resource’s tenure as a standalone public company. Its shares were set to be delisted before the July 20 market open, completing a transaction that had previously received shareholder approval.

The final consideration was 0.3619 Goldgroup shares for each Gold Resource share. That corresponded to the previously disclosed exchange ratio of 1.4476 shares before Goldgroup’s planned share consolidation.

The combination broadened the operating portfolio beyond Gold Resource’s Don David mine and Back Forty development project. The combined company held three Mexican gold assets: the producing Don David and Cerro Prieto mines and the fully permitted San Francisco restart project.

Goldgroup replaced Gold Resource under the GORO symbol on the NYSE American after the closing. Gold Resource’s standalone listing was terminated, while Goldgroup discontinued its over-the-counter quotation.

The transaction left the GORO symbol attached to a larger operating base, with two producing Mexican mines and a permitted restart project anchoring the combined company.
