Glencore recommends top-up distribution despite exceeding net debt cap
The company is recommending a top-up cash distribution of 7c a share based on the $4.0 billion value of its Bunge shares
Glencore Plc (GLEN), the diversified natural resources company, is recommending a top-up cash distribution of 7c a share, totaling approximately $0.8 billion. This payment is underpinned by the value of the company's NYSE-listed Bunge shares, which were valued at $4.0 billion on 13 February, an increase of $1.4 billion since the Viterra transaction closed in July 2025.
This distribution follows a year where the company's net debt, excluding marketing lease liabilities, reached $10.2 billion. This figure is above the ordinary course of business net debt cap of approximately $10 billion, a threshold that would ordinarily prevent top-up returns from being payable for the 2025 financial year.
Including the top-up, the aggregate cash distribution is 17c a share, or approximately $2 billion, which the company intends to pay in two equal instalments in June and September. This follows a total capital distribution of $0.10 a share paid in two instalments during 2025.
Financial results from material associates and joint ventures showed revenue of $9.8 billion and income for the year of $2.9 billion. This compares to revenue of $9.5 billion and income for the year of $2.6 billion in the prior period. Within these entities, Antamina reported revenue of $5.6 billion and income of $1.8 billion, while Collahuasi reported revenue of $4.2 billion and income of $1.0 billion.
As of 31 December 2025, Glencore held CHF 5.5 billion of reserves in its statutory accounts. A proposed distribution of these reserves remains subject to shareholder approval at the annual general meeting on 28 May 2026.
Looking ahead, the company says its illustrative annualised free cash flow generation at spot commodity prices is currently approximately $7 billion. Glencore is focused on its 2026 priorities, which include achieving operational targets and progressing organic production growth options.
